Louis practices corporate and commercial law with an emphasis on mergers and acquisitions. He is experienced in all areas of corporate and commercial law including the buying or selling of a business, establishing new businesses, corporate and tax reorganizations, financing transactions, leasing, and the drafting of shareholders and partnership agreements.
Representative Work
Louis’ representative work includes advising:
- Founders and owners of Professional Mixing Equipment Inc., an industrial mixing equipment manufacturer and supplier, on the sale of their interest to GMM Pfaudler, a publicly-traded, multinational corporation for approximately $9M.
- Partners of a Woodbridge dental practice in completing a $3.8M sale to an affiliate of Newlook Capital, a private equity firm experienced in the management of dental practices.
- Landmark Student Transportation Ltd. on various strategic acquisitions of school bus and charter transportation businesses, including its recent acquisition of Durhamway Bus Lines, Kawartha Lakes Bus Lines and C. Martin Bus Service Ltd.
- Shareholders of a conglomerate of dental practices with locations in Mississauga, Georgetown and Brampton in completing a $16.4M sale to a patient-centred dental private equity firm based out of Ottawa.
- Founders and owners of Aurora Scientific, a leading global supplier of muscle physiology and testing solutions used by University’s and research facilities, to Lafayette Instruments backed by private equity group Branford Castle Partners.
- Founders and owners of Artisan Complete, a leading supplier of marketing and printing solutions in the retail industry, to Transcontinental Printing Inc.
- New Roads Automotive Group in its acquisition of Newmarket Honda automotive dealership.
- Shareholders of a manufacturer of plastic bottles for the consumer industry speciality in PET and HDPE plastic based in Newmarket to complete a sale to a global packaging leader offering custom design and stock packaging solutions for an aggregate sale price of $10.5M.
- A minority shareholder in connection with a shareholder dispute and shot-gun purchase of a real estate holding company having a transaction value of over $3M.
- A group of landowners in the development of a wind farm project under an FIT Contract with the Ontario Power Authority, allowing the construction of a 100-megawatt wind farm.
